Introduction

Fabnite AS (Business Registration No. 924 028 971, VAT registered), hereinafter referred to as "Fabnite", is a Norwegian ticketing platform that operates a marketplace enabling users to buy and sell tickets to events.

These terms and conditions apply to the purchase and sale of Resale Tickets via Fabnite's sales channels (fabnite.com and the Fabnite app). A Resale Ticket is a ticket originally purchased by a user (the "Resale Seller") and made available for resale to a new buyer (the "Resale Buyer") through Fabnite.

Fabnite acts solely as a facilitator of the resale and is not a party to the purchase agreement between the Resale Seller and the Resale Buyer.

All Resale Tickets listed through Fabnite are verified — meaning Fabnite can confirm that the ticket was originally purchased via Fabnite and that the information provided in the listing is accurate.

These terms do not affect your statutory rights as a consumer. For information about your legal rights, please contact the Norwegian Consumer Council (Forbrukerrådet).

Account and Registration

To use Fabnite Resale, you must:

You are responsible for maintaining the security of your account and for all activity conducted through it. Do not share your login credentials with others.

You must not create multiple accounts in order to circumvent these terms or to conceal your identity.

Fabnite may close your account, cancel orders, and/or suspend your access to the Resale service if:

Account suspension does not affect any rights or obligations that have already arisen.

Contractual Relationship and Payment

By using Fabnite Resale, you enter into a legally binding agreement with Fabnite in accordance with these terms. The purchase agreement for the Resale Ticket itself is formed directly between the Resale Seller and the Resale Buyer upon confirmation of the purchase, and concludes when the Resale Seller has received payment.

Payment to the Resale Seller is made exclusively to a Norwegian bank account. The account number must be registered on the Resale Seller's Fabnite profile.

Fabnite reserves the right to update these terms. Updated terms are published on fabnite.com and take effect from the date of publication. It is your responsibility to stay informed of the current terms.

Price Cap

In accordance with Norwegian law prohibiting price surcharges on ticket resales, Resale Tickets may not be sold at a price exceeding the original purchase price.

Seller's Additional Obligations

As a Resale Seller, you are responsible for ensuring that:

Fabnite may remove or deactivate listings that are found to breach these terms.

Completion of Sale

Once a Resale Buyer confirms their purchase and payment has been processed, the Resale Seller will receive an order confirmation. From this point, the Resale Seller is legally obligated to deliver the ticket and may no longer make use of it.

Fabnite will invalidate the original ticket and issue a new valid ticket directly to the Resale Buyer. The Resale Seller is not normally required to take any action to complete the transfer.

Add-ons cannot be separated from the ticket and may only be used in connection with the event itself.

Fabnite reserves the right to cancel an order and refund the Resale Buyer in the event of technical errors or if payment is reversed by the Resale Buyer's bank. In such cases, the Resale Seller is not entitled to payment for that order.

Fabnite will not report VAT on Resale Tickets. In practice, this means that Resale Sellers who are VAT-registered and whose ticket and/or add-ons are subject to VAT must independently manage any VAT differential between the purchase and sale. Similarly, Resale Buyers must handle any applicable VAT deduction on their own side manually.

Cancelled or Changed Events

If an event is cancelled in its entirety and is not rescheduled, all Resale orders will be cancelled and the Resale Buyer will be refunded the sale price of the Resale Ticket. Please note that service fees paid to Fabnite are non-refundable, as our service was rendered at the time of the transaction.

If you have purchased Resale Tickets to a multi-day event and one or more days (but not all days) are cancelled, you will only be entitled to a proportional refund corresponding to the cancelled day(s).

A Resale Seller who has sold their Resale Ticket but has not yet received payment at the time of cancellation will receive the agreed payment and is not entitled to any further refund.

If an event is rescheduled, Resale Tickets carry the same rights as standard tickets as set out in the Fabnite Purchase Terms.

Any refunds in respect of Resale Tickets will be issued to the registered holder of the ticket at the relevant time.

Payment to Resale Sellers

A service fee is charged to the Resale Seller per Resale Ticket sold. This fee is deducted from the sale proceeds prior to payment. The applicable fee will be displayed during the listing process.

Payment to the Resale Seller will be made to the bank account registered on their Fabnite profile at the time of payment. Payment will ordinarily be made within 10 business days of the event taking place.

Any bank transaction fees required to process the payment will be deducted from the payout amount.

Fabnite may withhold or reverse a payout if there is a reasonable suspicion of default, fraud, or breach of these terms.

If a payment dispute arises, the payout will be held until the dispute is resolved.

Terms for Resale Buyers

The Resale Buyer acquires the Resale Ticket subject to the same rights and limitations as applied to the original ticket, as governed by the Fabnite Purchase Terms.

Misuse and Breach of Terms

In the event of a breach of these terms or where misuse is suspected, Fabnite may:

General Provisions

Warranties: You warrant that all information you provide is truthful and accurate, and that you are acting in compliance with applicable law and these terms.

Indemnification: You agree to indemnify and hold Fabnite harmless against any claims, losses, or costs arising from your breach of these terms or applicable legislation.

Severability: If any individual provision of these terms is found to be invalid or unenforceable, this shall not affect the validity of the remaining provisions.

Amendments: Fabnite may update these terms at any time. The current version is always available at fabnite.com.

Assignment: Fabnite may assign its rights and obligations under these terms, provided that your rights are not materially and adversely affected.

Governing Law: These terms are governed by Norwegian law. Any disputes shall be subject to the jurisdiction of Vestfold District Court (Vestfold tingrett).
